
COMMERCIAL TERMS & CONDITIONS
Payments terms are strictly 100% upfront payment from invoice total, balance on completion.
Lead times on material may vary from 1-12 weeks.
Payments are to be made to the nominated bank account in the nominated currency on the invoice.
All prices are quoted and payable in ZAR (South African Rands).
Balance of payment to be made after completion of the work (30 days from invoice) (If applicable).
Our quote will be repriced should the project deviate from the defined scope or the corrosion requires remeasure and or additional work is required based on additional corrosion being prevalent against what is quoted.
CLIENT TO PROVIDE:
- A purchase order (PO) number.
- Safe and secure paint store facility.
- Site Supervisor (if a requirement).
- Inductions and security passes as required.
- Customer appointed contact for confirmation of scope of work including identification and location of works (touch and tag).
- Vehicle access to point of work should it be required.
- Ventilation, gas test certificates, safety watcher, permits to work, lighting and clean surfaces.
- A digital camera permit if photographs are to be included in the reports.
- Ablutions and shower facilities on site.
- Safe and secure laydown area for storing product, equipment, and consumables.
SUPERIOR PRODUCT COATINGS AFRICA TO PROVIDE:
- Safety files, medicals, HSE training, legal appointments.
- Application Equipment.
- Application services.
- Consumables, supervision technical support.
- Qualified, Certified, and experienced rope access personnel to support/execute the project.
- Back-office support.
- A copy of the Quality Control Plan after successful completion.
- Coating report after successful completion of the project.
- 20-year warranty on corrosion protection and adhesion.
GENERAL
- Our terms are strictly 30 DAYS from submission of invoice & report for project/training/QA/QC services (If applicable) or monthly, whichever comes first.
- Quoted rates are valid for 5 days from the date of this quotation.
- Normal working day is an 8-hr shift. If working hours need to be extended beyond 8 hrs a day overtime rates will apply (If applicable).
- Overtime is calculated and charged at the normal day rate +50% – prorated for the number of hours worked.
- Should inclement weather delay our work, the 75% of the day rate will apply as per the quote without penalty whatsoever against SP Coatings Africa.
- Our rates have not made provision for weekend work should it be necessary and permitted by the client, weekend rates will then apply at 2x the hourly rate.
- Breaks over winter will need to be planned for and mobilizations will be charged for during each mobilization.
- The team will be managed and supported by our KZN team in Durban.
- The total team fixed rates exclude any delays caused by poor weather or access to the site that is out of SP Coatings Africa’s control, such as wind delays, strike action, torrential rain, acts of God, etc.
- Standby time will be charged for any delays at 75% of the team day rate should the above be in effect.
- Accommodation & LOA have been charged for every day the technician is away.
- Should the work get completed prior to the PO being completed, a final invoice will be issued to actual works completed on site as per the quoted day rates.

TERMS AND CONDITIONS
- Force Majeure: SP Coatings Africa shall not be liable nor responsible for delays or costs in completion of the work resulting from or caused by occurrences beyond our control, including, without limitation, changes ordered in the work and other delays resulting from actions or inactions of others, acts of God, floods, fire, explosions or other casualty losses, strikes, boycotts or other disputes, lockouts and acts of Government.
- Limitation of Liability: SP Coatings Africa shall have no liability to the client for:
- Any loss of profits or any consequential damaged suffered by the client for delayed orders or cancelled orders.
- Any claim not expressly defined and provided for in the contract with the client.
- Method of Measurement: Personnel shall be recorded daily on the accepted Timesheet Schedule and all-time sheet submissions shall be agreed upon and witnessed by both parties.
- HSE Management Systems: Upon acceptance of this quote the client agrees to uphold and enforce the ruling Health and Safety standards at all times, and to ensure safe and acceptable working environments for the duration of the contract.
- Terms of Payment: 75% Upfront payment, site work will be invoiced for after the completion of the project or monthly. Invoices are to be paid 14 days from the invoice in relation to site work only.
- Acceptance and Offer: By accepting our offer, the client agrees to be bound by our terms and conditions as described in this quotation.
- Contract Instructions: Any additions to the scope of works shall be dealt with as a variation to the contract the cost of which will be calculated according to rates submitted. Where the rates are not applicable, new rates shall be drawn up, and where new rates are not applicable a new quote shall be drawn up.
- Anti-Corruption: SP COATINGS AFRICA CC subscribes and adheres to anti-corruption practices and exercises moral business ethics in all its work endeavors.
- INCOTERMS 2020: For the purposes of this quote, reference will be made to Incoterm’s 2020 with regards to all freight, transport, duty, and the responsibilities thereof.
- SPREAD RATES: SP Coatings Africa will not be liable for any claim against spread rates based on contractors applications. SP Coatings Africa warrants and voids any claim against it and have hence ensured supervision is on site and available during the entire prep & application process.
- WORK REMEASURE: Should the work scope be extended or more severe than what is quoted, we reserve the right to reprice for materials and labor as needed.
